Terms of Service

By accessing or using WisePal.AI (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, do not access or use the Service. These Terms constitute a legally binding agreement between you and RIZUHLT LLC, d/b/a WisePal (“Company,” “we,” “us,” or “our”).

WisePal.AI provides the following services:

• Agentic AI Solutions: Custom autonomous AI agent systems designed to automate workflows, research, and decision-support processes for businesses.
• AI Consulting: Strategic advisory services covering AI adoption, implementation roadmaps, and organizational readiness assessments.
• Software Products: Proprietary applications built on AI infrastructure, including products within the Advantage ecosystem (TruArc, AdvantageNYS, and others).

All services are provided “as is” and “as available.” We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

You agree to use the Service only for lawful purposes. You must not:

• Use the Service to violate any applicable local, state, federal, or international law or regulation.
• Attempt to gain unauthorized access to any portion of the Service or related systems.
• Transmit any unsolicited commercial communications or engage in spamming.
• Introduce malware, viruses, or any other harmful code.
• Reverse-engineer, decompile, or disassemble any software component of the Service.
• Use automated tools, bots, or scrapers to extract content or data without written permission.
• Misrepresent your identity or affiliation with any person or entity.
• Harass, threaten, or harm any person through use of the Service, or use the Service to facilitate discrimination, hate speech, or illegal activity.

We reserve the right to investigate violations and take appropriate action, including terminating access to the Service without notice.

The Service incorporates artificial intelligence and machine learning systems. By using any AI-powered feature, you acknowledge and agree to the following:

• No Guarantee of Accuracy: AI-generated outputs — including recommendations, analyses, summaries, and automated actions — are probabilistic and may contain errors, omissions, or hallucinations. We make no warranty that any AI output is accurate, complete, or fit for any particular purpose.
• Human Oversight Required: AI outputs must not be used as a sole basis for consequential decisions — including but not limited to legal, financial, medical, or safety-critical decisions — without appropriate human review and professional judgment.
• Not Professional Advice: Nothing produced by the Service constitutes legal, financial, medical, or other licensed professional advice. Consult qualified professionals for matters requiring expert judgment.
• Evolving Technology: AI systems are continuously evolving. Outputs may change over time even with identical inputs. We do not guarantee consistency or reproducibility of AI-generated results.
• User Responsibility: You are solely responsible for evaluating AI outputs and any decisions made based on them. The Company is not liable for any action taken or not taken in reliance on AI-generated content.

All content, interfaces, trademarks, service marks, trade names, logos, software, and other intellectual property displayed on or through the Service are owned by or licensed to RIZUHLT LLC, d/b/a WisePal. All rights are reserved.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. This license does not include the right to sublicense, sell, reproduce, modify, publish, or create derivative works from any part of the Service without our prior written consent.

If you provide feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, worldwide, royalty-free license to use that feedback for any purpose without compensation to you.

General use of the WisePal.AI website does not require account registration. When you submit a contact form or request a consultation, you voluntarily provide contact information (name, email, and message). You represent that any information you provide is accurate and current.

You are responsible for maintaining the confidentiality of any credentials associated with Advantage ecosystem products you access. Notify us immediately at hamid@wisepal.ai if you suspect unauthorized access.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components, or that any defects will be corrected. We do not warrant that results obtained through the Service will be accurate or reliable.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RIZUHLT LLC, D/B/A WISEPAL, AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

You agree to defend, indemnify, and hold harmless RIZUHLT LLC, d/b/a WisePal, and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or related to your use of the Service, violation of these Terms, or infringement of any third-party rights.

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service ceases immediately.

Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law shall survive termination of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in Texas for any disputes arising under these Terms.

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of thirty (30) days following written notice of the dispute.

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Effective Date” at the top of this page. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
